These Terms of Use (the "Terms") govern your access to and use of the software platform and related services (the "Platform"). By creating an account, accessing, or using the Platform, you ("User") agree to be bound by these Terms. If you do not agree, do not create an account or use the Platform.

1. Contracting Parties

The Platform is provided by Expense To Profit Inc. ("ETP" or "the Company") under license from ExpenSaver LLC ("ExpenSaver"), the owner and developer of the Platform. All references to "we," "our," and "us" in these Terms refer collectively to ETP and ExpenSaver.

2. License Grant

2.1 Limited License

We grant you a limited, nonexclusive, nontransferable, revocable license to access and use the Platform solely for your internal business purposes and in accordance with these Terms.

2.2 Reservation of Rights

All rights not expressly granted to you are reserved. The Platform, including its software, algorithms, data pipelines, models, interfaces, and documentation, is proprietary to ExpenSaver and its licensors.

3. Prohibited Uses

You shall not, and shall not permit any third party to:

Reverse engineer, decompile, or disassemble the Platform or attempt to derive its source code, algorithms, or model weights.
Use the Platform or its outputs to train or develop competing machine learning or artificial intelligence systems.
Access or use the Platform for benchmarking, competitive analysis, or any unlawful, harmful, or deceptive purpose.
Circumvent access controls, APIs, or other security features.
Share, sublicense, resell, or otherwise transfer your access credentials.
Upload or transmit malicious code or any material that infringes third-party rights.

Any violation of this Section constitutes a material breach of these Terms and may result in immediate termination of your account.

4. Account Responsibilities

You must provide accurate registration information and maintain the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account, whether authorized by you or not.
You agree to promptly notify us of any unauthorized access or security breach relating to your account.

5. User Content and Data

5.1 Ownership

You retain ownership of any data, documents, or other materials you upload or submit to the Platform ("User Content").

5.2 License

You grant us a worldwide, nonexclusive, royalty-free license to host, process, display, and use your User Content solely for the purpose of operating and improving the Platform.

5.3 Aggregated Data

We may aggregate and deidentify User Content and usage data to analyze trends, improve our services, and for other lawful business purposes.

5.4 Data Compliance

You represent that you have obtained all necessary rights and consents to submit User Content and that its use will not violate any law, regulation, or third-party rights.

6. Confidentiality

The Platform, including its algorithms, technical architecture, and nonpublic features, constitutes confidential and proprietary information of ExpenSaver. You agree not to disclose, copy, or misuse any such information.

7. Ethical and Responsible Use of AI

You agree to use the Platform ethically and responsibly, including by:

Avoiding harmful, discriminatory, or deceptive applications of the Platform.
Maintaining appropriate human oversight when the Platform influences legally significant decisions.
Complying with all applicable laws and industry standards, including those relating to privacy, data protection, and export controls.

8. Ownership and Feedback

The Platform and all associated intellectual property rights are and shall remain the exclusive property of ExpenSaver and its licensors. Any feedback, suggestions, or improvements you provide may be used by ExpenSaver and ETP without restriction or obligation.

9. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause or notice, if we reasonably believe you have violated these Terms or applicable law. Upon termination, you must immediately cease using the Platform.

Sections 3, 5, 6, 8, 9, 10, and 11 shall survive termination.

10. Disclaimers

The Platform is provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, or uninterrupted operation.

Any service level commitments made under separate agreements with ETP's business partners do not apply to you as an individual end user.

11. Limitation of Liability

To the maximum extent permitted by law:

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the total amount you paid us, if any, in the 12 months preceding the claim.
If you have paid nothing, your sole and exclusive remedy is to stop using the Platform.
We shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Expense To Profit Inc., ExpenSaver LLC, and their affiliates from any claim, liability, loss, damage, or expense (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms or applicable law;
Your misuse of the Platform; or
Your User Content or data practices.

13. Changes to the Terms

We may revise these Terms from time to time. If we make material changes, we will notify you via the Platform or by email. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida.

("ETP" or "the Company") and ExpenSaver LLC ("ExpenSaver") (collectively, "we," "our," or "us") collect, use, disclose, and protect your personal information when you access or use the software platform and related services (the "Platform").

By creating an account or using the Platform, you agree to the terms of this Policy. If you do not agree, do not use the Platform.

We retain your information for as long as your account is active or as needed to provide the Platform and comply with our legal obligations. We may retain backup copies of User Content for up to 90 days after account deletion.

5. Your Choices and Rights

Access and Update: You may access and update your account information by logging into the Platform.
Delete: You may request deletion of your account and personal information by contacting us at contact@expensaver.com. We may retain certain information as required by law or for legitimate business purposes.
Opt-Out: You may opt out of nonessential communications by using the unsubscribe instructions in emails or contacting us directly.

6. Data Security

We use industry-standard administrative, technical, and physical safeguards to protect your information. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

7. International Users

If you access the Platform from outside the United States, you consent to the transfer and processing of your information in the United States, which may have different data protection laws than your country.

8. Children's Privacy

The Platform is not directed to children under 18, and we do not knowingly collect personal information from children. If we learn that we have collected personal information from a child, we will delete it.

9. Changes to This Policy

We may update this Policy from time to time. If we make material changes, we will notify you by posting the revised Policy on the Platform or by email. Your continued use of the Platform after the effective date of the revised Policy constitutes acceptance.
